Terms of Use

These Terms of Use ("Terms") are a legally binding agreement between you and/or the entity you represent ("you", "Customer") and Drushtant Infoweb Pvt. Ltd. ("we", "us", "our"), the provider of Bizmitra Notify ("the Service"), a product of Drushtant Infoweb Pvt. Ltd., Gondal, Gujarat, India. By creating an account, ticking the acceptance box, or using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy and, where applicable, our Data Processing Addendum. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it. You are responsible for the accuracy of registration details, for all activity under your account and API keys, and for keeping your credentials confidential. Notify us immediately of any unauthorised use.

2. The Service

Bizmitra Notify provides a unified platform and API to send notifications across channels such as email, SMS, WhatsApp and push. We may add, change, suspend or discontinue features. Certain channels depend on third-party carriers and their rules (e.g. WhatsApp Business Policy, telecom/DLT regulations, anti-spam laws) which you must also comply with.

3. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. You are solely responsible for the content you transmit and for obtaining all necessary consents from your recipients. You must not send spam, unlawful, fraudulent, infringing, or harmful content, or attempt to disrupt or reverse-engineer the Service.

4. Your data & recipients

You retain ownership of the content and recipient data you submit ("Customer Data"). You grant us a limited licence to process Customer Data to provide the Service. Where we process personal data of your recipients on your behalf, we act as your processor under the Data Processing Addendum, and you are responsible for having a lawful basis and any required consents to contact those recipients.

5. Plans, fees & payment

Paid plans and usage-based charges are billed as described at sign-up or in your order. Unless stated otherwise, fees are exclusive of taxes (including GST), which you are responsible for. Late or failed payments may lead to suspension. Refunds, where available, are governed by our Refund & Cancellation Policy.

6. Intellectual property

The Service, including all software, documentation, trademarks and branding (including "Bizmitra" and "Bizmitra Notify"), is owned by Drushtant Infoweb Pvt. Ltd. or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service per these Terms. All rights not expressly granted are reserved.

7. Third-party services

The Service integrates with third-party carriers and providers. Your use of those services may be subject to their terms, and we are not responsible for their acts or omissions.

8. Suspension & termination

We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, fail to pay, create security or legal risk, or as required by law. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (e.g. fees due, IP, disclaimers, limitation of liability, indemnity, governing law) will survive.

9. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation or that every message will be delivered, as delivery depends on carriers and recipient systems outside our control.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our aggregate liability arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the 12 months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

11. Indemnity

You will defend, indemnify and hold harmless Drushtant Infoweb Pvt. Ltd. and its affiliates from claims, damages and costs arising from your Customer Data, your use of the Service, or your breach of these Terms or applicable law (including data-protection and anti-spam laws).

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified (e.g. by email or in-product) and, where required, we will seek renewed acceptance. Continued use after changes take effect constitutes acceptance.

13. Governing law & disputes

These Terms are governed by the laws of India. Subject to applicable law, the courts at Gondal / Rajkot, Gujarat, India will have exclusive jurisdiction, and you consent to that jurisdiction and venue. If you are a consumer in the EEA/UK, mandatory local consumer-protection rights are unaffected.
